1. Definitions

In these Terms and Conditions, the following terms have the meanings set forth below:

• "Service" or "Services" refers to the apartment rental consultation and facilitation services provided by Vista Living.
• "Client" or "You" refers to any individual or entity engaging Vista Living's services.
• "We," "Us," or "Our" refers to Vista Living.
• "Agreement" refers to these Terms and Conditions along with any service-specific agreements.
• "Collection" refers to the Foundation, Enhanced, or Signature service packages.

2. Acceptance of Terms

By engaging our services, accessing our website, or communicating with our consultants, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.

These terms constitute a legally binding agreement between you and Vista Living. You must be at least 18 years of age to enter into this agreement and use our services.

3. Service Description

Vista Living provides professional apartment rental consultation services in Taiwan. Our services include, but are not limited to:

• Consultation regarding residential requirements and preferences
• Property search and presentation of suitable options
• Coordination of property viewings
• Lease agreement review and facilitation
• Representation in rental discussions and negotiations
• Post-lease support as specified in the selected Collection

The specific services provided depend on the Collection level you select. Service details are outlined in our Collection descriptions and confirmed during initial consultation.

4. Client Responsibilities

When using our services, you agree to:

4.1 Provide Accurate Information

Supply truthful, complete, and accurate information regarding your requirements, financial capacity, employment status, and any other details relevant to your rental search. You must promptly notify us of any changes to this information.

4.2 Maintain Communication

Respond to our communications in a timely manner and maintain availability for scheduled viewings and appointments. Failure to maintain communication may delay your search or affect service delivery.

4.3 Act in Good Faith

Engage with property owners, landlords, and our team with honesty and professionalism. You agree not to circumvent our services by directly contacting property owners we have introduced you to for purposes of avoiding our service fees.

4.4 Comply with Laws

Comply with all applicable laws and regulations related to residential rentals in Taiwan, including visa requirements, registration obligations, and landlord-tenant laws.

5. Service Fees and Payment

5.1 Fee Structure

Our service fees are based on the Collection level you select. Current fees are displayed on our website and confirmed in writing during initial consultation. All fees are stated in Taiwan Dollars (TWD).

5.2 Payment Terms

Service fees are typically payable as follows: 50% upon engagement of services and commencement of property search, and 50% upon successful lease execution. Specific payment arrangements will be outlined in your service agreement.

5.3 Additional Costs

Our service fees do not include rental deposits, advance rent payments, legal fees for independent counsel, or other costs directly associated with securing a rental property. These remain your responsibility.

5.4 Refund Policy

If you elect to discontinue services before lease execution, a partial refund may be available depending on the stage of service completion. Refund eligibility will be assessed on a case-by-case basis and communicated to you clearly.

6. Service Limitations and Disclaimers

6.1 No Guarantees

While we make every effort to provide quality service and present suitable properties, we cannot guarantee that you will secure a specific property or that you will find a residence within a particular timeframe. Property availability depends on market conditions and landlord decisions beyond our control.

6.2 Property Information

We strive to provide accurate property information based on details supplied by property owners and our own assessments. However, you are responsible for conducting your own due diligence and inspection of any property before entering into a lease agreement.

6.3 Third-Party Relationships

We facilitate connections between clients and property owners but are not parties to the resulting lease agreements. We are not responsible for the actions, omissions, or conduct of property owners, landlords, or other third parties.

6.4 Professional Advice

Our services include facilitation and general guidance but do not constitute legal, financial, or tax advice. We recommend consulting with appropriate professional advisors for such matters.

7. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Vista Living or our licensors and is protected by copyright and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes related to engaging our services. You may not reproduce, distribute, modify, or create derivative works from our content without written permission.

8. Limitation of Liability

To the fullest extent permitted by law, Vista Living's liability to you for any claims arising from our services is limited to the amount of fees you have paid for those services.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or loss of opportunity, even if we have been advised of the possibility of such damages.

This limitation of liability does not apply to damages resulting from our gross negligence, willful misconduct, or violations of applicable law that cannot be limited by contract.

9. Indemnification

You agree to indemnify, defend, and hold harmless Vista Living, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these terms, or your violation of any rights of third parties.

10. Termination

10.1 Termination by Client

You may terminate our services at any time by providing written notice. Upon termination, you remain responsible for fees accrued up to the termination date and may be subject to the refund policy outlined in Section 5.4.

10.2 Termination by Vista Living

We reserve the right to terminate our services if you breach these terms, provide false information, engage in abusive conduct toward our staff or property owners, or if continuing services becomes impractical or unreasonable.

10.3 Effect of Termination

Upon termination, all licenses and rights granted to you under these terms cease immediately. Provisions that by their nature should survive termination (including payment obligations, disclaimers, and limitation of liability) will continue to apply.

11. Dispute Resolution

11.1 Governing Law

These Terms and Conditions are governed by the laws of Taiwan. Any disputes arising from or related to these terms or our services will be subject to the exclusive jurisdiction of the courts in New Taipei City, Taiwan.

11.2 Informal Resolution

In the event of any dispute, we encourage you to contact us first to seek an informal resolution. Many concerns can be addressed through direct communication with our team.

11.3 Mediation

If informal resolution is unsuccessful, we may agree to participate in mediation before pursuing litigation. Mediation costs will be shared equally unless otherwise agreed.

12. General Provisions

12.1 Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Vista Living regarding our services.

12.2 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations without restriction.

12.5 Notice

All notices required under these terms must be in writing and delivered to the addresses provided during service engagement or to [email protected].

13. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. When we make changes, we will update the "Last Updated" date and post the revised terms on our website.

If you have an active service engagement when terms are updated, the original terms under which you engaged our services will continue to apply to that engagement. New terms will apply to future service engagements.
